Terms of Service

Effective August 3, 2026

These Terms of Service govern your access to and use of Relay, a service for preparing and publishing short-form content to connected social platforms.

1. Agreement to these terms

By creating an account or using Relay, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Relay. If you use Relay for an organization, you represent that you are authorized to accept these Terms for that organization.

2. Eligibility and accounts

You must be legally able to enter into a binding agreement and meet the minimum age required in your country. Relay is not intended for children under 13.

You must provide accurate account information, protect your login credentials, and promptly notify us if you believe your account has been compromised. You are responsible for activity performed through your account unless caused by Relay’s breach of these Terms.

3. The Relay service

Relay lets you upload media, prepare captions and publishing settings, connect supported third-party accounts, and ask those platforms to publish content on your behalf. Features may be introduced, changed, suspended, or discontinued as the service evolves.

Some functionality may be offered as a beta or test feature. Beta features may be incomplete, change without notice, or be subject to limits imposed by Relay or a third-party platform.

4. Connected platforms

When you connect a social account, you authorize Relay to access the account information and permissions you approve and to submit content only when you expressly request it. You may disconnect a platform through Relay’s connection settings.

Your use of TikTok, Instagram, YouTube, or another connected service remains subject to that platform’s own terms, policies, technical requirements, moderation decisions, rate limits, and account restrictions. Relay does not control those services and cannot guarantee that they will accept, process, display, or retain a post.

5. Your content and permissions

You retain ownership of content you upload. You grant Relay a limited, non-exclusive, worldwide license to host, copy, process, transmit, and format your content only as needed to operate the service, fulfill your publishing instructions, maintain security, and comply with law. This license ends when the content is deleted from our systems, subject to reasonable technical and legal retention.

You represent that you own or have all permissions necessary for your content, including rights to music, images, trademarks, performers, and personal information. You are responsible for captions, claims, disclosures, audience settings, commercial-content labels, and AI-generated-content labels you select.

6. Acceptable use

You may not use Relay to:

  • publish unlawful, fraudulent, deceptive, infringing, abusive, or harmful content;
  • violate another person’s privacy, publicity, intellectual-property, or contractual rights;
  • distribute malware, spam, manipulated engagement, or unauthorized advertising;
  • bypass platform safeguards, rate limits, review requirements, or access controls;
  • probe, disrupt, reverse engineer, or interfere with Relay or its infrastructure; or
  • use another person’s social account or content without authorization.

We may block a publishing attempt or restrict access when reasonably necessary to protect users, platforms, Relay, or the public.

7. Music and commercial content

Before publishing to TikTok, you must make the required music-usage confirmation. If content promotes your business or a third party, you must accurately enable the appropriate promotional or branded-content disclosures and follow TikTok’s Branded Content Policy and all applicable advertising laws.

8. Availability and changes

We work to keep Relay reliable, but we do not guarantee uninterrupted or error-free service. Uploads and publishing may be delayed or fail because of network conditions, third-party APIs, moderation, account settings, or service limits. You should verify important posts directly on the destination platform.

9. Suspension and termination

You may stop using Relay at any time and may request account deletion by contacting us. We may suspend or terminate access when you materially violate these Terms, create security or legal risk, or misuse connected services. Where reasonable, we will provide notice and an opportunity to address the issue.

10. Intellectual property

Relay’s software, interface, branding, documentation, and other service materials are owned by Relay or its licensors. These Terms do not grant you rights to use Relay’s name, logos, source code, or other intellectual property except as necessary to use the service.

11. Disclaimers

Relay is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing. Nothing in these Terms limits consumer rights that cannot legally be waived.

12. Limitation of liability

To the maximum extent permitted by law, Relay will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from the service or a connected platform. Relay’s aggregate liability for a claim will not exceed the greater of the amount you paid Relay during the 12 months before the event giving rise to the claim or USD $100. These limitations do not apply where prohibited by law.

13. Changes to these terms

We may update these Terms as Relay changes. We will post the revised version with a new effective date and provide additional notice when required. Continuing to use Relay after an update becomes effective means you accept the revised Terms.
